1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CallSub LLC, a Virginia limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the HR Sub AI platform and services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

HR Sub AI is an AI-powered recruitment platform that provides:

• Automated resume analysis and candidate matching
• AI-generated screening questions based on job descriptions
• Text-based, voice, and phone call screening interviews
• Candidate scoring and assessment reports
• Recruitment workflow management tools

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload false, misleading, or fraudulent information
• Discriminate against candidates based on protected characteristics

• Reverse engineer, decompile, or disassemble any part of the Service

5. User Content

5.1 Your Content

You retain ownership of all content you upload to the Service, including job descriptions, resumes, and screening data ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely for the purpose of providing the Service.

5.2 Responsibility for Content

You are solely responsible for ensuring that User Content does not violate any laws or third-party rights. You represent that you have all necessary permissions to upload and process any resumes or candidate information through the Service.

6. AI-Generated Content

The Service uses artificial intelligence to analyze resumes, generate questions, and provide candidate assessments. You acknowledge that:

• AI-generated content is provided as a tool to assist your hiring decisions
• AI assessments should not be the sole basis for employment decisions
• You are responsible for ensuring compliance with employment laws
• AI outputs may contain errors and should be reviewed by humans
• We do not guarantee the accuracy or completeness of AI-generated content

7. Fees and Payment

Certain features of the Service may require payment of fees. If you choose to use paid features, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise specified. We reserve the right to change our pricing with reasonable notice.

8. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by CallSub LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CALLSUB LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless CallSub LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination will remain in effect.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
